Waiver Agreement

1. Purpose and Acknowledgment

I, the purchaser, acknowledge and agree that all products purchased from Upgrade Bio Labs are intended exclusively for in-vitro laboratory research and educational purposes. I understand that these products are:

• Research chemicals and peptides sold for laboratory use only
• Not approved by the FDA for any human or veterinary medical use
• Not intended for diagnostic, therapeutic, or medicinal purposes
• Not to be consumed by humans or animals under any circumstances

2. Certification of Eligibility

By purchasing from Upgrade Bio Labs, I certify that:

• I am at least 18 years of age (or 21 years where required by law)
• I am purchasing products for legitimate research purposes
• I have the knowledge and qualifications to handle research compounds safely
• I will store products in appropriate laboratory conditions
• I will dispose of products in accordance with applicable regulations

3. Assumption of Risk

I acknowledge and accept that:

• Research peptides and compounds may be hazardous if mishandled
• Proper laboratory safety equipment should be used at all times
• I am solely responsible for understanding the properties and hazards of compounds I purchase
• I assume all risks associated with the handling, storage, and use of these products

4. Waiver and Release of Liability

I hereby waive, release, and discharge Upgrade Bio Labs, its owners, officers, directors, employees, agents, affiliates, and successors from any and all claims, demands, damages, costs, expenses, and causes of action arising from or related to:

• My purchase, possession, or use of any products
• Any injury, illness, or harm to myself or others
• Any property damage
• Any legal consequences resulting from my use of products
• Any violation of laws or regulations by me

This waiver includes claims arising from negligence (except gross negligence or intentional misconduct) and unknown or unforeseen claims.

5. Indemnification

I agree to indemnify, defend, and hold harmless Upgrade Bio Labs and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

• My breach of this agreement
• My misuse of products
• Any third-party claims related to my use of products
• Any violation of applicable laws or regulations

6. Compliance with Laws

I agree to:

• Comply with all applicable federal, state, and local laws regarding the
  purchase, possession, and use of research compounds
• Not resell products without proper authorization
• Not export products without complying with export regulations
• Report any suspected misuse or diversion of products

7. No Warranty

I understand that products are sold “AS IS” without any express or implied warranties regarding:

• Fitness for a particular purpose
• Non-infringement
• Results to be obtained from use

Upgrade Bio Labs provides certificates of analysis for purity verification but makes no claims regarding efficacy for any particular research application.

8. Severability

If any provision of this waiver is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Georgia, United States. Any disputes arising from this agreement shall be resolved in the courts of Georgia.

10. Acceptance

By completing a purchase on our website, I acknowledge that:

• I have carefully read and fully understand this waiver agreement
• I voluntarily agree to its terms and conditions
• I am not relying on any statements or representations not contained in this agreement
• This agreement is binding upon me, my heirs, and legal representatives
